• Sale of nursing home valued in excess of $100 million  by a NYS not-for-profit entity to a for profit company.  The sale required the consent of the Charities Bureau of the NYS Attorney General and the NYS Supreme Court.
• $125,000,000 sale of privately owned New York City based Medicaid Health Maintenance Organization to a public company involving performance based contingent compensation.
• An orthotic and prosthetics company in connection with its acquisitions and roll up of related businesses.
• Acted as counsel to an Article 28 Ambulatory Surgery Center in connection with the sale of its business assets, real estate and the employment of its principals to a major New York City Medical Center.
• Represented an Article 28 Diagnostic and Treatment Center in the sale of its assets and leasing of its several practice sites, and continued employment of its principals to a major New York City Medical Center.
• Represented numerous physicians and other licensed providers in connection with hospital and multi-specialty practice group acquisitions of client’s professional practices and on-going employment of physicians/providers.
• Structuring a joint venture radiology management business; including the drafting, analysis, and negotiation of Operating Agreements, Practice Management Agreements and Consulting Agreements, with particular attention to applicable federal and state fraud and abuse, self-referral and corporate practice of medicine laws and regulations.
