Shellie Rosan’s practice focuses on real estate transactional work, including commercial real estate financing, single property and portfolio acquisitions and related due diligence and financing, institutional and private real estate financing for various commercial property types, joint venture structuring and recapitalization, and retail, medical and restaurant space leasing work, representing both landlords and tenants. In her prior large firm practice she represented CMBS and life insurance company lenders in CMBS and construction lending transactions, and debt restructuring. Prior to attending law school, Shellie worked as a Senior Project Manager and Industrial Park Manager for the New York City Economic Development Corporation, with responsibility for project financial analysis, city and state incentive programs packages for companies contemplating business moves to New York City, and development project management within New York City’s industrial parks.

  • Represented the sponsor/developer of a 130-unit residential, mixed-use project in its initial $40 million construction to permanent financing, and subsequent refinancing
  • Represented a sponsor in a $28 million equity recapitalization of its commercial real estate joint venture, with two tiers of preferred equity, including negotiating recognition agreements with the mortgage lender
  • Represented an investor group in numerous direct commercial real estate investments in garden apartment complexes and portfolios of multi-family properties, and in preferred and ordinary equity positions
  • Represented a medical office space developer in site acquisitions, development and financing of build-to-suit projects and triple net leasing the medical space to a regional urgent care franchisee
  • Represented a mezzanine lender in a rescue loan to a small residential developer
  • Represented property owners in CMBS refinancing of numerous multi-family properties
  • Represented a high-end restaurant group in the leasing of various restaurant locations
