Caroline Ismay Keegan is a Senior Associate in Kurzman Eisenberg’s Corporate, Art Law and Real Estate practices groups.

Caroline has holistic commercial transactions expertise. She regularly advises clients on a full range of corporate matters, including mergers and acquisitions, where she represents both acquirers and sellers in asset, stock, and merger transactions, as well as corporate governance, general corporate compliance, and employment law. With a diverse client base spanning startups, non-profits, and large public corporations, Caroline has extensive experience structuring and negotiating complex transactions to support clients’ strategic growth and operational objectives. She guides companies through critical corporate events, including business and non-profit entity formation, maintenance, conversion, dissolution, financings, and strategic joint ventures, and regularly prepares operating agreements, shareholders’ agreements, and other related organizational documents. Caroline drafts and negotiates purchase and sale agreements for corporate, art and real estate transactions, and helps clients navigate evolving regulatory frameworks.

Caroline’s corporate and real estate practices are closely intertwined. She provides transactional support for complex real estate investments and development projects, advising developers, investors, and institutional clients on the selection and formation of investment vehicles and the structuring of capital contributions and waterfall arrangements for joint ventures. Her work includes preparing and negotiating joint venture and operating agreements, conducting due diligence and governance analysis for property-owning entities, reviewing financing documentation, and assessing required approvals and consents across multi-tiered organizational structures. Caroline’s integrated approach ensures that each transaction is strategically structured and executed to advance her clients’ business and investment objectives.

Caroline also has significant experience in the arts industry, developed through both legal and business positions spanning more than 15 years. Her Art Law practice includes counseling dealers, galleries, non-profits, individual and institutional collectors, museums, and artists across a wide spectrum of creative disciplines, including musicians, actors, performing artists, filmmakers, podcasters, photographers, and multimedia and fine artists. She advises clients on complex matters involving art purchase and sale transactions, intellectual property rights, guaranteed bids, exhibitions, publication, licensing, lending, and consigning. Caroline frequently negotiates agreements with major auction houses and provides strategic legal guidance on the sale and licensing of intellectual property. She has also negotiated settlement agreements concerning intellectual property infringement, as well as title and authenticity disputes.

Caroline serves on the Board of Directors of Apropos Housing Opportunities & Management Enterprises, Inc. (A-HOME), an affordable housing non-profit, and Selva Projects Inc., a non-profit arts organization dedicated to supporting interdisciplinary artistic collaboration and community engagement, as well as on the Associates Board of Volunteer Lawyers for the Arts.

Prior to joining Kurzman Eisenberg, Caroline’s work experience included the Museum of Modern Art, the Metropolitan Museum of Art, the Brooklyn Museum, the Calder Foundation, and Volunteer Lawyers for the Arts.
