The real estate group, along with its team of corporate attorneys, has the experience to handle complex joint venture other entity transactions involving both domestic and international investors. Recently, in connection with the acquisition of a landmarked warehouse in lower Manhattan, we represented our client in negotiating all of the joint venture documents necessary to partner with foreign investors. This matter involved careful consideration of tax issues and complicated limited partnership operating documents.

Whether it involves the acquisition or disposition of membership interests in a New York City office building, or the negotiation of a complicated joint venture agreement with foreign investors for the acquisition and redevelopment of a New York City warehouse, our attorneys bring to the table a wealth of knowledge and experience that makes even the most difficult transaction close smoothly. We are experts and extremely creative in the areas of "major decisions", distribution waterfalls, transfers of interests, buy/sell and ROFO provisions and capital calls and related defaults.

Representative Transactions:

  • Represented a well-known developer in venture-related disputes culminating in the buy-out of the other joint venturer's interest in a New York City office building valued in excess of $125 Million.
  • Sale on by a venturer of its 85% interest in a 20 story office building located in the Flatiron District and valued at over $135 Million.
  • Settlement of a"right of first offer" deadlock, resulting in the sale of a 50% interest in a New York City office building worth in excess of $700 Million, including the negotiation of a joint venture agreement and a complex refinancing and defeasance.
  • Drafted joint venture agreement among a local developer, a financial institution and private equity fund to acquire and finance a regional shopping center valued at $110,000,000.
  • Represented a Real Estate Investment Fund in its preferred equity investments in numerous national projects, including build-to-suit development projects and acquisitions and financings of existing facilities.
