Jeffrey S. Held

Jeffrey Held is a partner in the Real Estate department of Kurzman Eisenberg Corbin & Lever, LLP. His broad based practice focuses on advising clients on complex matters involving the purchase, sale, financing and development of improved and unimproved commercial real estate properties throughout the United States and abroad.  In addition to representing clients in their real estate activities, he has provided guidance on the real estate components of significant corporate and financing transactions.  Mr. Held has also represented landlords and tenants in sophisticated office and retail leasing projects, working with clients on operating and net lease arrangements.  His clients have included private equity funds, private investors, owners, managers, operators and developers, as well as national and international entertainment companies and hotel and restaurant owners and operators.

In addition to his real estate practice, Mr. Held has counseled private equity sponsors and their portfolio companies on a variety of transactions included mergers, acquisitions, divestitures, joint venture arrangements, strategic investment and financings.  He has also advised clients on general corporate matters, including working with management on employment and equity arrangements.

Prior to joining Kurzman Eisenberg Corbin & Lever, LLP, Mr. Held was a partner in the Real Estate, Environmental and Land Use Department of Day Pitney LLP and in the Corporate Departments of O’Melveny & Myers LLP and O’Sullivan, LLP.

Representative Matters

  • Represented private equity sponsors and their portfolio companies in the acquisition, sale and financing of properties throughout the United States and abroad
  • Represented private equity sponsors in the real estate components of acquisitions and sales throughout the United States and abroad
  • Represented private equity sponsors in real estate work involved in the secured financing arrangements established in connection with the acquisition of a major international entertainment company
  • Represented casino and hotel companies in real estate work involved in a variety of secured financing arrangements
  • Represented lenders in real estate work involved in secured financing arrangements for a major casino company
  • Represented the U.S. affiliates of an international hotel chain in the acquisition of real property and improvements throughout the United States
  • Represented private equity funds and other tenants in negotiating office leases in New York and California
  • Represented a major retailer in negotiating “big box” leases in locations throughout the United States
  • Represented entertainment companies in the development, acquisition, sale and financing of hotels and restaurants throughout the United States
